All Fees shall be payable in advance, based on the Services and the number of Authorized Users identified in the applicable Order Form. Fees are subject to change upon subscription renewal. Fees are non-refundable and payment obligations are non-cancellable. > **12.2. For renewals that are not automatic (i.e., are handled through the renewal quote process), the parties will mutually agree upon the pricing, and the Price Lock Guarantee will not necessarily apply. For month-to-month Subscriptions, Kaseya may increase pricing at any time in its discretion on thirty (30) days’ written notice and the Price Lock Guarantee will not necessarily apply. Notwithstanding the foregoing, in all cases of renewal, Kaseya reserves the right to adjust prices to compensate for exchange rate variations, increases in tariffs, or other governmental actions or charges that result in a similar cost effect upon Kaseya.
